In brief
This page identifies the open-source software components used to build the Platform and attributes them to their authors under the terms of their respective licenses. The Platform incorporates third-party open-source software, which is provided "AS IS" under its own license terms. Questions about this page may be directed to [email protected].
1. Purpose of this document
1.1. The Platform is built on open-source software. This document satisfies the attribution and notice obligations of the licenses governing those components, and describes the licenses' principal requirements in plain English.
1.2. This document is an attribution notice. It does not modify, supersede, or relicense any component. The applicable license terms are those published by each component's licensor, and nothing in this document or in our Terms & Conditions reduces or overrides the rights granted to users and contributors under those licenses.
1.3. Where a license requires that its full text be reproduced or made available, we do so in accordance with Section 5 of this document.
2. Disclaimer regarding open-source software
2.1. The open-source components listed in Section 3 are licensed to us and to you under the terms of their respective licenses. Each such component is provided "AS IS", WITHOUT WARRANTY OF ANY KIND, express or implied, including the implied warranties of MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, and NON-INFRINGEMENT, to the maximum extent permitted by the applicable license.
2.2. Neither the authors nor the copyright holders of any open-source component listed in Section 3 are liable for any claim, damages, or other liability arising from the use of that component, in each case as provided by the applicable license. To the fullest extent permitted by law, Cyphra LLC offers the Platform on a managed-services basis and is not the licensor or warrantor of the underlying open-source components.
3. Open-source components
The table and subsections below identify the principal open-source components of the Platform.
3.1 Open WebUI (chat interface component)
- Role in the Platform: the browser-based chat interface through which you interact with your Agent Instance (web experience on desktop and mobile browsers).
- Upstream project: https://github.com/open-webui/open-webui
- License: the Open WebUI License — a BSD-3-Clause-based license with an added branding-preservation condition effective as of v0.6.6 (April 19, 2025). Code contributed up to and including v0.6.5 remains under the original BSD-3-Clause license per the project's LICENSE_HISTORY. (Verified from the LICENSE file and licensing documentation in the upstream repository.)
- Copyright attribution: Copyright (c) 2023– Open WebUI Inc. [Created by Timothy Jaeryang Baek]. All rights reserved.
- Notes: The Open WebUI License is not an OSI-approved open-source license; it is a permissive source-available license subject to the branding condition summarized in Section 4.4.
3.2 Pterodactyl (instance management panel component)
- Role in the Platform: the administrative panel used to provision, start, stop, monitor, and operate your Agent Instance (resource controls, file management, console access).
- Upstream project: https://github.com/pterodactyl/panel (panel) and https://github.com/pterodactyl/wings (server control plane)
- License: MIT License (verified from the LICENSE.md files in the upstream repositories).
- Copyright attribution: Pterodactyl® — Copyright © Dane Everitt and contributors.
- Notes: MIT is a permissive license. The Pterodactyl name and ® mark are subject to the trademark terms noted in Section 6.
3.3 Paymenter (billing portal component)
- Role in the Platform: the customer-facing Billing Portal used for plans, orders, invoices, and payments. Card payments are processed by the third-party gateway at checkout; card data does not pass through Cyphra systems.
- Upstream project: https://github.com/Paymenter/Paymenter
- License: MIT License (verified from the LICENSE file and repository metadata in the upstream repository).
- Copyright attribution: Copyright (c) 2024–2026 Paymenter.
3.4 Hermes Agent (agent runtime component)
- Role in the Platform: the agent runtime that powers the AI capabilities of your Agent Instance — planning, tool use, skills, memory, and integration with the Web Interface, Control Panel, and model providers.
- Upstream project: https://github.com/NousResearch/hermes-agent
- License: MIT License (verified from the LICENSE file in the upstream repository at github.com/NousResearch/hermes-agent).
- Copyright attribution: Copyright (c) 2025 Nous Research.
License summary. All four principal components identified above are permissive or source-available licenses — three are MIT (Pterodactyl, Paymenter, Hermes Agent) and one is a BSD-3-Clause-based license with a branding condition (Open WebUI). None of the four is licensed under the GPL, AGPL, or any other copyleft license, and none of the four imposes network-copyleft source-disclosure obligations on a hosted service. The only materially restrictive term in the set is the Open WebUI branding condition (Section 4.4), which constrains branding modification, not source use. This statement reflects license verification against each upstream repository's LICENSE file as of the publication date; see open item 7.1(c) for the per-release diligence gate.
4. What the licenses require
4.1. Attribution retention. MIT-licensed components (Pterodactyl, Paymenter, Hermes Agent) require that the copyright notice and the license's permission notice be retained in all copies or substantial portions of the software, and reproduced in documentation and/or other materials distributed with binary forms. The Open WebUI License requires retention of its copyright notice and disclaimer for source redistributions and reproduction of both in binary distributions.
4.2. Notice reproduction. Where a component is redistributed in binary or compiled form, its license requires that the copyright notice, license text (or notice referencing it), and disclaimer be included in the accompanying documentation or materials. We reproduce the required notices in this document and will supply full license texts on request under Section 5.
4.3. No endorsement. BSD-3-Clause-style clauses (including clause 3 of the Open WebUI License) prohibit using the names of the copyright holders or contributors to endorse or promote derived products without specific prior written permission.
4.4. Open WebUI branding condition. Effective v0.6.6 (April 19, 2025), the Open WebUI License makes it a material condition of the license that "Open WebUI" branding (name, logo, and distinguishing UI marks) must not be altered, removed, obscured, or replaced in any deployment or distribution, except where: (i) the deployment has fifty (50) or fewer end users in any rolling thirty (30) day period; (ii) the operator is a recognized project contributor with specific prior written permission; or (iii) an executed enterprise license permits the branding changes. A deployment that removes or alters branding outside these exceptions is in material breach of the license. The project separately requires that derivative deployments clarify in their documentation or interface that they are a fork rather than the official version, and prohibit any implication of Open WebUI endorsement. This condition is directly material to white-labeling of the Web Interface; see open item 7.1(a).
5. Source-code availability commitments
5.1. The complete source code for each component listed in Section 3 is publicly available at the upstream project URLs given above, under the terms of the applicable license.
5.2. GPL-class components. We are not currently aware of any GPL- or AGPL-licensed component in the Platform (see open item 7.1(c)). If any GPL-class component is included in a deployed release, we will make its corresponding source code — including the source for modifications, where the license so requires — available on request at no charge by email to [email protected], together with the applicable license text, and will list the component in Section 3 of this document.
5.3. Requests for license texts or corresponding source may be sent to [email protected]. We will respond within a reasonable time.
6. Trademark note
6.1. The names Open WebUI, Pterodactyl, Paymenter, and Hermes Agent, and their associated logos and marks, are the trademarks or registered marks of their respective owners.
6.2. Their use in this document is solely for the purpose of license attribution and truthful identification of the components as required by the applicable licenses. That use does not imply endorsement, sponsorship, or affiliation by or with any of those owners, and does not grant Cyphra or any customer any right, title, or license in those trademarks beyond what the applicable software license expressly permits.
6.3. Nothing in this document authorizes any party to use these names in a way that suggests endorsement, or to remove, alter, or obscure branding except as the applicable license expressly allows.
7. Open items for counsel review
7.1. The following items must be resolved before this document is published.
| # | Item | Status |
|---|---|---|
| (a) | White-labeling vs. trademark/branding clauses. The Open WebUI License branding condition (Section 4.4) prohibits removing or altering "Open WebUI" branding for deployments exceeding 50 end users in a rolling 30-day period unless written permission or an enterprise license is obtained. Working recommendation until written permission is obtained from Open WebUI Inc.: keep visible Open WebUI attribution in the Web Interface (the license-compliant default), or qualify under the 50-user/30-day exception only for pilot deployments and re-assess before general availability; do not white-label the Web Interface at scale. Counsel must determine whether Cyphra's customer-facing white-labeling strategy (a) accepts visible Open WebUI branding in the Web Interface, (b) qualifies for any exception, or (c) requires negotiating an enterprise/branding license with Open WebUI Inc. Pterodactyl, Paymenter, and Hermes Agent are MIT-licensed and impose no branding conditions, but their names are trademark-protected — confirm UI branding against each owner's trademark policy. | OPEN — HIGH PRIORITY |
| (b) | Exact license-text reproduction requirements. Confirm the precise form of notice reproduction each license requires for the actual distribution method (hosted service vs. distributed binaries), including whether full license texts must be embedded in shipped artifacts and whether modified-file notices are required. The Paymenter copyright line has been verified against the upstream LICENSE file ("Copyright (c) 2024–2026 Paymenter"); re-verify at the deployed version before publication. | OPEN |
| (c) | AGPL / network-copyleft components. As of publication, verified against each upstream repository's LICENSE file: none of the four principal components is AGPL or otherwise network-copyleft licensed (three MIT, one BSD-3-Clause-based with a branding condition; see Section 3 "License summary"). Because Cyphra operates the components as a hosted managed service, any future adoption of an AGPL-class component would raise network-copyleft obligations (source offering to users of the service) that interact with the managed-instance model — including whether modifications are "offered" to customers via the service. Confirm via a license scan of each deployed release that no AGPL component is present, and add a diligence gate for any new component before it enters the Platform. | OPEN — FLAG PROMINENTLY |
